Website visitors, enquiries, and clients

1. Introduction

Welcome to Newtons Creative (“we,” “our,” “us,” or “the Company”), a digital marketing and creative agency based in Dubai, United Arab Emirates (UAE).

These Terms & Conditions govern your access to and use of our website, https://newtonscreative.com/, and the services we provide.

By accessing our website, submitting an enquiry, requesting a quotation, or engaging our services, you agree to these Terms & Conditions. If you do not agree with these terms, please discontinue use of our website and services.

These Terms apply alongside any separate proposal, quotation, service agreement, or statement of work agreed upon between Newtons Creative and a client. Where a signed agreement expressly conflicts with these Terms, the relevant provisions of the signed agreement will take precedence.

2. Our Services

Newtons Creative provides digital marketing, creative, and technology services, which may include:

  • Website design and development.

  • WordPress and Elementor website development.

  • Search engine optimization (SEO).

  • Google Ads management and paid advertising.

  • Social media marketing and advertising.

  • Graphic design and brand identity.

  • 3D modelling and rendering.

  • Website maintenance and related digital services.

The scope, deliverables, timelines, pricing, and responsibilities associated with a particular project will be specified in the applicable quotation, proposal, or service agreement.

We reserve the right to modify, expand, discontinue, or improve our services, subject to any existing contractual commitments.

3. Enquiries and Quotations

Submitting an enquiry through our website, email, telephone, or another communication channel does not automatically establish a client relationship or create a binding service agreement.

Quotations and proposals are subject to the stated validity period and any conditions specified in the relevant document.

A project will generally commence once the applicable proposal or quotation has been accepted, the required initial payment has been received, and the necessary information and access have been provided, unless otherwise agreed in writing.

Any changes to the agreed scope of work may require revised pricing, additional charges, or an adjustment to the project timeline.

4. Pricing and Payments

Service fees, payment schedules, deposits, and applicable taxes will be communicated in the relevant quotation or agreement.

Unless otherwise specified in writing:

  • Payments must be made according to the agreed payment schedule.

  • Deposits or advance payments may be required before work begins.

  • Additional work outside the agreed scope may incur additional charges.

  • The client is responsible for applicable taxes, transaction fees, and third-party charges where contractually applicable.

  • Work may be paused if an invoice remains unpaid beyond the agreed payment deadline, subject to applicable law and the relevant agreement.

Where permitted by law, overdue invoices may be subject to reasonable late-payment charges if these were agreed upon in advance.

Any suspension of services for non-payment will be handled in accordance with the applicable agreement and relevant legal requirements.

5. Client Responsibilities

To help ensure successful project delivery, clients agree to:

  • Provide accurate and complete information, materials, and instructions.

  • Supply required website, hosting, domain, advertising, and other account access.

  • Review drafts, designs, advertisements, and deliverables within agreed timeframes.

  • Obtain the necessary permissions and licences for materials supplied to us.

  • Ensure that claims, offers, and information used in their marketing campaigns are accurate and lawful.

  • Maintain appropriate backups and account security where applicable.

  • Make payments according to the agreed terms.

Delays in receiving information, approvals, payments, or access may affect delivery schedules and project outcomes. We will communicate material delays where reasonably practicable.

6. Website Design and Development

For website design and development projects, the agreed proposal will define the scope, features, functionality, and deliverables.

Unless otherwise agreed:

  • The client is responsible for reviewing and approving content, layouts, and functionality.

  • Additional pages, integrations, features, or revisions outside the agreed scope may incur additional fees.

  • Third-party themes, plugins, fonts, stock images, APIs, and other licensed resources remain subject to their respective licence terms.

  • Ongoing maintenance, security monitoring, hosting, backups, and technical support are not included unless expressly specified.

  • Website performance may depend on hosting infrastructure, third-party services, software updates, and other factors outside our control.

We will make reasonable efforts to deliver work that meets the agreed project requirements. However, we cannot guarantee uninterrupted operation or compatibility with every device, browser, plugin, or future software update.

7. Search Engine Optimization (SEO)

SEO services are intended to improve a website’s search visibility, technical performance, content relevance, and organic traffic potential.

SEO outcomes depend on multiple factors, including competition, website history, content quality, technical condition, search engine algorithms, and competitor activity.

We do not guarantee specific search engine rankings, featured snippets, traffic volumes, leads, sales, or revenue.

Search engines may change their algorithms, indexing policies, and ranking systems without notice. Such changes may affect website visibility and performance.

Any estimated timelines or projected results are provided for planning purposes and are not guarantees of future performance.

8. Google Ads and Paid Advertising

Our advertising services may include campaign setup, keyword research, advertising copy, audience targeting, conversion tracking, optimisation, and performance reporting, as specified in the relevant agreement.

Unless expressly included in the quotation, advertising platform spend is separate from our management fees and must be funded by the client.

The client acknowledges that:

  • Advertising costs and campaign results may fluctuate.

  • Clicks, impressions, enquiries, conversions, and sales are not guaranteed.

  • Advertising platforms may reject advertisements, restrict accounts, modify policies, or suspend campaigns.

  • Campaign performance depends partly on factors such as budget, competition, landing pages, offers, tracking, and market conditions.

  • The client remains responsible for the accuracy and legality of its products, services, offers, and business claims.

We are not responsible for decisions made independently by advertising platforms. We will, however, make reasonable efforts to manage campaigns in accordance with the agreed scope and applicable platform policies.

9. Social Media and Third-Party Platforms

Social media marketing and advertising may involve third-party platforms such as Meta, Instagram, LinkedIn, TikTok, and other services.

Those platforms operate independently and may change their features, pricing, policies, algorithms, or account requirements.

We do not control these platforms and cannot guarantee uninterrupted access, account approval, audience reach, engagement, or campaign performance.

Clients remain responsible for complying with applicable platform terms and for maintaining ownership and appropriate access to their business accounts unless otherwise agreed.

10. Intellectual Property Rights

10.1 Our Materials

Unless otherwise agreed in writing, Newtons Creative retains ownership of its pre-existing materials, internal processes, methodologies, templates, tools, know-how, and other intellectual property used to deliver services.

You may not reproduce, distribute, modify, or commercially exploit our proprietary materials without prior written permission.

10.2 Client Materials

Clients retain ownership of materials they provide to us, including their logos, brand assets, text, photographs, videos, and other content.

Clients grant Newtons Creative permission to use those materials as reasonably necessary to perform the agreed services.

Clients confirm that they have the rights and permissions required to provide those materials for the intended use.

10.3 Final Deliverables

Ownership and usage rights for final deliverables will be governed by the relevant proposal or service agreement.

Unless otherwise agreed, and subject to applicable third-party licences, transfer of ownership or the grant of final usage rights may be conditional on full payment of all amounts due for the relevant project.

Third-party software, stock assets, fonts, plugins, and other licensed materials remain subject to their original licence terms and may not be transferable to the client.

11. Revisions, Approvals, and Project Changes

The number of revisions included in a project will be specified in the relevant quotation or agreement.

Requests exceeding the agreed revision allowance, changes to approved concepts, or substantial changes to the original requirements may be treated as additional work.

Clients are responsible for reviewing and approving deliverables before publication or launch.

We are not responsible for errors in content or materials that the client has approved, provided by the client, or independently modified after delivery.

12. Confidentiality

We will take reasonable steps to protect confidential business information shared with us during a project.

Clients are also expected to protect our confidential information, including non-public proposals, pricing, strategies, and proprietary materials.

Confidential information may be disclosed where required by law or where disclosure is reasonably necessary to service providers involved in delivering the agreed work, subject to appropriate safeguards.

This section does not apply to information that is publicly available through no breach of confidentiality, was lawfully known before disclosure, or is independently developed or lawfully received from another source.

13. Privacy and Data Protection

Our collection and use of personal information are described in our Privacy Policy.

By using our website or services, you acknowledge that personal information may be processed as described in that policy and in accordance with applicable data protection requirements.

Clients are responsible for ensuring they have the necessary rights, notices, and permissions to share personal data with us for project delivery.

Where we process personal data on behalf of a client, additional contractual arrangements may apply.

14. Website Use and Prohibited Activities

You agree not to use our website or services to:

  • Violate applicable laws or regulations.

  • Submit fraudulent, misleading, or unlawful information.

  • Attempt to gain unauthorised access to our systems or accounts.

  • Introduce malicious software, viruses, or harmful code.

  • Interfere with the operation or security of our website.

  • Copy, scrape, or exploit website content in a manner that violates applicable law or our rights.

  • Infringe the intellectual property, privacy, or other rights of third parties.

We may restrict or suspend access to our website where reasonably necessary to protect its security, comply with law, or prevent misuse.

15. Limitation of Liability

To the extent permitted by applicable law, Newtons Creative will not be liable for indirect, incidental, special, or consequential losses arising from the use of our website or services, including loss of profits, business opportunities, anticipated savings, or data, where such exclusions are legally enforceable.

We are not responsible for losses arising from circumstances beyond our reasonable control, including third-party platform outages, search engine changes, hosting failures, cyber incidents, or actions taken by independent service providers, except to the extent liability cannot lawfully be excluded.

Nothing in these Terms excludes or limits liability where such exclusion or limitation is prohibited by applicable law, including liability for fraud, wilful misconduct, or other matters that cannot legally be limited.

Any additional liability limits or remedies agreed for a specific project will be governed by the applicable service agreement.

16. Indemnification

To the extent permitted by law, clients are responsible for claims, losses, and expenses arising from unlawful or infringing materials they provide, inaccurate business claims they instruct us to publish, or their breach of these Terms.

This provision does not apply to the extent a claim results from our own unlawful conduct, breach of contract, or other liability that cannot lawfully be excluded.

17. Suspension and Termination

Either party may terminate a service agreement in accordance with its agreed termination provisions.

If no specific termination procedure has been agreed, the parties should communicate in writing and resolve outstanding obligations in accordance with the applicable contract and law.

Upon termination:

  • The client remains responsible for fees for work performed and authorised costs incurred up to the effective termination date, subject to the agreement.

  • Any prepaid amounts, refunds, or cancellation charges will be handled according to the agreed terms and applicable law.

  • Access to accounts, files, and deliverables will be handled in accordance with the project agreement, payment status, security requirements, and applicable law.

  • Confidentiality and intellectual property provisions intended to survive termination will remain in effect.

We may suspend services where reasonably necessary because of non-payment, unlawful instructions, security risks, or a material breach, subject to applicable law and contractual obligations.

18. Force Majeure

Neither party will be responsible for a delay or failure to perform its obligations to the extent caused by circumstances beyond its reasonable control, such as natural disasters, widespread internet or telecommunications failures, government restrictions, war, civil unrest, or major third-party service disruptions.

The affected party should notify the other party where reasonably practicable and take reasonable steps to reduce the impact.

This provision does not remove payment obligations for services already delivered or other obligations that remain enforceable under applicable law.

19. Changes to These Terms

We may update these Terms & Conditions from time to time to reflect changes in our services, business practices, or legal obligations.

The updated version will be published on this page with a revised “Last Updated” date.

Changes will apply prospectively where appropriate. Any changes to an existing service agreement will be handled according to that agreement and applicable law.

Your continued use of the website after an update constitutes acceptance only to the extent permitted by applicable law.

20. Governing Law and Jurisdiction

These Terms & Conditions are intended to be governed by the applicable laws of the United Arab Emirates, including relevant laws applicable in the Emirate of Dubai, as appropriate.

Any dispute arising from these Terms will be addressed through good-faith discussions where practicable. If the dispute cannot be resolved amicably, it will be submitted to the competent courts or dispute-resolution forum determined by applicable law and any valid agreement between the parties.

Nothing in this section overrides mandatory legal protections or jurisdictional rules that apply to a particular dispute.
